1. About itsicard

itsicard is a SaaS-based digital business identity and virtual business card platform that enables users to create, customize, manage and share digital business profiles.

Depending on the plan and features available, the Services may include:

itsicard may add, modify, suspend or discontinue features or Services at its discretion, subject to applicable law and any contractual obligations.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

If you are using itsicard on behalf of a company, organization or other legal entity, you represent that you have the authority to accept these Terms on behalf of that entity.

If a parent, guardian, employer or organization creates or manages an account for another person, the person or organization creating the account is responsible for ensuring that the use of the Services complies with these Terms and applicable law.

3. Account Registration

Certain features require you to create an account.

You agree to:

• Keep your account information updated.
• Maintain the confidentiality of your login credentials.
• Use your account only for lawful purposes.
• Notify us promptly if you suspect unauthorized access.

itsicard is not responsible for losses resulting from your failure to protect your account credentials.

4. Digital Business Card Information

You are responsible for all information, images, logos, links, documents, videos, descriptions, contact details and other material that you upload, publish or display through your digital business card (“User Content”).

You represent and warrant that:

• The information you provide is accurate to the best of your knowledge.
• You have the necessary rights and permissions to use your User Content.
• Your content does not infringe another person's intellectual-property, privacy or other legal rights.
• Your content does not violate applicable laws.
• Your content does not contain malicious code, malware or harmful software.

You are solely responsible for maintaining the accuracy and legality of your digital business card.

5. Prohibited Use

You agree not to use itsicard to:

• Commit or promote illegal activities.
• Defraud, deceive or mislead others.
• Impersonate another person or organization.
• Publish fraudulent business information.
• Distribute malware, viruses or malicious code.
• Conduct phishing or other abusive activities.
• Harass, threaten or abuse others.
• Publish content that violates applicable law.
• Infringe copyrights, trademarks or other intellectual-property rights.
• Collect personal information unlawfully.
• Send unsolicited spam or bulk communications.
• Promote illegal goods or services.
• Circumvent security or access controls.
• Attempt to gain unauthorized access to the platform.
• Interfere with the operation or security of the Services.
• Use automated systems to abuse or overload the platform.
• Use the Services for any purpose prohibited by applicable law.

We reserve the right to investigate suspected violations and take appropriate action.

6. User Content

You retain ownership of the content you upload to itsicard.

By uploading or publishing User Content, you grant itsicard a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display and technically transmit that content solely as necessary to provide, maintain, secure and improve the Services.

You remain responsible for your User Content.

itsicard does not claim ownership of your business information, photographs, logos, trademarks or other original content merely because you use the Services.

7. Intellectual Property

The itsicard platform and its underlying technology are owned by or licensed to itsicard and are protected by applicable intellectual-property laws.

This includes, without limitation:

• Software
• Website design
• Platform interface
• Graphics
• Logos
• Branding
• Templates
• Text
• Database structure
• Features
• Source code
• Platform architecture
• Documentation

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, reverse engineer or commercially exploit any part of the Services without our prior written permission.

Your use of the Services does not grant you ownership of itsicard's intellectual property.

8. Templates and Designs

itsicard may provide templates, layouts, themes, graphics and design elements for creating digital business cards.

These materials remain subject to the applicable intellectual-property rights of itsicard or its licensors.

You may use them only as part of the Services and in accordance with your subscription and these Terms.

9. QR Codes and Digital Links

itsicard may generate QR codes, profile links and other sharing mechanisms associated with your digital business card.

You understand that:

• QR codes are dependent on the availability of the underlying digital profile or URL.
• QR codes should not be used for unlawful purposes.
• itsicard does not guarantee that every third-party QR scanner, browser or device will function identically.
• Changes to your account, subscription, domain or profile may affect the availability or functionality of associated links.

10. Third-Party Services and Links

The Services may contain links to or integrations with third-party services, including social-media platforms, messaging services, payment providers, analytics services, domain providers and other external platforms.

Third-party services are governed by their own terms and privacy policies.

itsicard does not control and is not responsible for:

• Availability of third-party services
• Third-party content
• Third-party privacy practices
• Third-party policies
• Third-party outages
• Changes made by third-party providers

Your use of third-party services is at your own risk.

11. Subscription Plans

itsicard may offer free and paid subscription plans.

The features, usage limits, pricing and duration of each plan will be communicated on the applicable pricing or subscription page.

We reserve the right to introduce new plans or modify existing plans, features or limitations.

Any changes to paid subscriptions will be handled in accordance with applicable law and the applicable billing terms.

12. Payments

You authorize the applicable payment provider to process charges associated with your selected subscription.

itsicard does not generally store complete payment-card information where payment processing is handled by an authorized third-party payment processor.

13. Taxes

Applicable taxes, including Goods and Services Tax (GST) or other statutory taxes, may be charged in accordance with applicable law.

You are responsible for any taxes that may apply to your purchase or use of the Services, except taxes imposed directly on itsicard's income.

14. Free Trials and Promotional Offers

itsicard may provide free trials, promotional periods, discounts or other offers.

The terms applicable to each promotion will be displayed at the time the offer is provided.

We reserve the right to modify, limit or discontinue promotional offers subject to applicable law.

Unless expressly stated otherwise, promotional offers may not be combined with other offers.

15. Cancellation

You may cancel your subscription according to the cancellation mechanism provided within the platform or through the applicable support channel.

Cancellation may stop future subscription renewals but does not automatically create a right to a refund for previously paid amounts unless required by applicable law or expressly provided under our refund policy.

16. Refunds

Refund eligibility will be governed by the itsicard Refund and Cancellation Policy applicable to your purchase.

Where applicable, refunds may be subject to:

• Billing cycle
• Promotional pricing

Any applicable refund will normally be processed through the original payment method or another method permitted by the payment provider.

20. Availability of Services

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation.

• Cybersecurity incidents
• Third-party service failures
• Force majeure events
• Other circumstances beyond our reasonable control

We will make reasonable efforts to restore affected Services.

21. Data Backup

Although we may maintain backups as part of our operational processes, you are responsible for maintaining copies of important business information and content.

itsicard does not guarantee that every item of User Content can be recovered following accidental deletion, technical failure, account termination or other events.

We implement reasonable technical and organizational measures intended to protect the Services and information processed through them.

However, no internet-based service can be guaranteed to be completely secure.

You acknowledge that transmission and storage of information through the internet involves inherent risks.

23. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis.

itsicard does not guarantee that:

• The Services will always be uninterrupted.
• The platform will be completely error-free.
• Every feature will operate on every device or browser.
• Third-party integrations will always remain available.
• The Services will meet every individual business requirement.
• Your digital card will generate a specific number of leads, customers, sales or business results.

You are responsible for evaluating whether the Services meet your business requirements.

24. Limitation of Liability

To the maximum extent permitted by applicable law, itsicard and its owners, employees, affiliates, service providers and partners will not be liable for indirect, incidental, special, consequential or exemplary damages arising from or related to your use of the Services.

This may include loss of:

• Profits
• Revenue
• Business opportunities
• Data
• Goodwill
• Business interruption

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless itsicard, its affiliates, directors, employees, officers and service providers from claims, losses, liabilities, damages and expenses arising from:
